Terms and Conditions of Backona and Backona AI

1. Introduction

Welcome to Backona, a service provided by Beespoke Services Ltd. These Terms and Conditions (“Terms”) govern your use of Backona’s services and products. By accessing or using our services, you agree to be bound by these Terms, our Privacy Policy, and any other applicable policies. If you do not agree with these Terms, please refrain from using our services.

1.1. Legal Agreement

These Terms constitute a legally binding agreement between you (the “User”) and Beespoke Services Ltd (“Backona,” “we,” “us,” “our”). By using our services, you affirm that you have read, understood, and agree to these Terms.

1.2. Age Restriction

You must be at least 18 years old to use our services. By registering for an account, you confirm that you meet this age requirement.

1.3. Arbitration Clause

All disputes arising out of or in connection with these Terms shall be resolved through binding arbitration as outlined in Section 18.


2. Definitions

  • Operator: Beespoke Services Ltd, trading as Backona.
  • Website: The website accessible at backona.com.
  • User: Any individual or entity accessing or using Backona’s services.
  • Account: A registered User’s personal space on the Website.
  • Subscription Fee/Plan: The payment plans for using Backona’s services.
  • Trial Period: A period during which new Users can access limited services for free.
  • Agreement: The contract between the User and Operator based on these Terms.

3. General Provisions

3.1. Use of Services

Backona provides services including marketing data optimization, analytics integration, and reporting tools. Access to these services is restricted to registered Users who have agreed to these Terms.

3.2. Operator Rights

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We may also delegate the operation of the Website to third parties if necessary to ensure the quality and continuity of the services provided.


4. Account Registration

4.1. Account Creation

To access our services, you must create an Account by providing accurate and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.

4.2. Subscription Plans

Upon registration, you may select a Subscription Plan (Nano, Micro, Macro, Quantum) based on your business needs. Subscription plans commence either immediately or after the expiration of the Trial Period, if applicable. Payment details must be provided during registration, and you agree to the recurring billing of the subscription fees.

4.3. Payment Terms

Subscription fees are billed on a monthly basis unless otherwise specified. We reserve the right to adjust pricing at our discretion. Users will be notified of any changes at least 30 days in advance. All payments are non-refundable except as expressly provided in these Terms.

5. Rules of Using the Website

5.1. Compliance with Laws and Regulations

When using the Backona website and services, you must comply with all applicable local, national, and international laws and regulations. This includes, but is not limited to, regulations regarding data privacy, intellectual property, and consumer protection. You are solely responsible for ensuring that your use of the services does not violate any applicable laws or regulations. Any illegal or unauthorized use of the website or services is strictly prohibited and may result in the termination of your account and access to the services.

5.2. Prohibited Activities

To maintain the integrity and security of the Backona platform, you agree not to engage in the following prohibited activities:

  • Unauthorized Access: Attempting to gain unauthorized access to the Backona platform, servers, or networks connected to the website, including through hacking, password mining, or any other means.
  • Data Scraping: Using automated tools, bots, scripts, or similar technologies to scrape, extract, or collect data from the website or services without Backona’s prior written consent.
  • Tampering with Security: Attempting to interfere with or compromise the security features of the website, such as bypassing or disabling any encryption, security protocols, or measures implemented by Backona.
  • Impersonation: Misrepresenting your identity or affiliation with any person or entity, or falsely claiming to represent Backona or another user of the platform.
  • Spam and Phishing: Engaging in any activity that involves sending unsolicited commercial emails (spam) or phishing emails to other users of the website or to Backona.
  • Malicious Software: Uploading, distributing, or transmitting viruses, worms, trojans, or other malicious software intended to harm or disrupt the services, the website, or other users’ devices.
  • Abuse of Services: Misusing the services in any way that could impair the functionality of the platform, including excessive use of resources, creating multiple accounts to bypass usage limits, or engaging in activities that disrupt the experience of other users.

5.3. User Content and Conduct

As a user of Backona, you are responsible for all content you upload, post, or otherwise transmit through the website. You agree to:

  • Legal and Ethical Standards: Ensure that all content you post complies with applicable laws and ethical standards. You must not upload or share content that is defamatory, obscene, threatening, invasive of privacy, or that infringes on the intellectual property rights of others.
  • Accuracy of Information: Ensure that all information you provide through the website, including registration details and any data uploaded to the platform, is accurate, complete, and up-to-date. You are responsible for correcting any false or misleading information.
  • Prohibited Content: Refrain from posting or sharing content that is illegal, harmful, abusive, harassing, or otherwise objectionable. This includes, but is not limited to, hate speech, graphic violence, explicit sexual content, or content that promotes illegal activities.

5.4. Protection of Personal Data

You are responsible for protecting the personal data you input or share on the Backona platform. This includes ensuring that any personal data you provide complies with data protection laws such as the General Data Protection Regulation (GDPR) if you are operating within the European Union. You must obtain all necessary consents before submitting personal data of third parties and ensure that any data you input into the platform does not violate their privacy rights.

5.5. Use of Account

Your account is personal to you and should not be shared with others. You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to:

  • Protect Your Credentials: Keep your login information secure and not disclose it to anyone. If you suspect that your account has been compromised, you must notify Backona immediately.
  • Account Misuse: Do not allow others to use your account or access the services through your account. Sharing your account or allowing unauthorized access may result in the suspension or termination of your account.
  • Multiple Accounts: Refrain from creating multiple accounts unless expressly permitted by Backona. Creating multiple accounts to abuse the platform, bypass usage limits, or deceive others is prohibited.

5.6. Content Ownership and Responsibility

You retain ownership of the content you upload to the Backona platform. However, you are solely responsible for the legality, reliability, accuracy, and appropriateness of the content you provide. Backona does not endorse or assume any liability for any content posted by users on the platform. You grant Backona a license to use, store, and process your content in accordance with these Terms and the Privacy Policy.

5.7. Respect for Intellectual Property

You must respect the intellectual property rights of Backona and other users. This includes not copying, distributing, or creating derivative works from content found on the Backona platform without the proper authorization. Any use of Backona’s intellectual property, including but not limited to logos, trademarks, and software, must be in compliance with these Terms and any applicable licenses.

5.8. Monitoring and Enforcement

Backona reserves the right, but is not obligated, to monitor your use of the website and services to ensure compliance with these Terms. This may include reviewing content uploaded or shared on the platform, investigating complaints, or taking action against users who violate these Terms. Backona may, in its sole discretion, take any of the following actions:

  • Content Removal: Remove or disable access to any content that violates these Terms, infringes on intellectual property rights, or is otherwise deemed inappropriate.
  • Account Suspension: Temporarily or permanently suspend your account if you are found to be in violation of these Terms.
  • Termination: Terminate your account and access to the services for severe or repeated violations of these Terms. In such cases, you may be barred from creating a new account in the future.
  • Legal Action: Pursue legal action against users who engage in illegal activities, infringe on intellectual property rights, or otherwise cause harm to Backona, its users, or its services.

5.9. Feedback and Reporting Violations

Backona values user feedback and encourages users to report any violations of these Terms. If you believe that another user is violating these Terms or if you encounter any suspicious or inappropriate activity on the platform, please report it to Backona immediately at support@backona.com. Backona will investigate all reports and take appropriate action as necessary.

5.10. Limitation of Use

Backona may impose limitations on the use of the website and services at its discretion. This may include limits on the number of API calls, the amount of data you can upload, or the number of users associated with a single account. You agree to comply with any such limitations and not to attempt to circumvent them through unauthorized means.

5.11. No Commercial Exploitation

You may not use the Backona platform for any commercial purposes without obtaining prior written permission from Backona. This includes, but is not limited to, using the platform to promote or sell products or services, soliciting other users for commercial purposes, or using the platform to gather competitive intelligence.


6. Services Provided

6.1. Description of Services

Backona offers a range of packages (Nano, Micro, Macro, Quantum) designed to meet varying business needs. These packages include features such as analytics integration, message limits, and user seats. We reserve the right to alter the features and scope of each package as necessary.

6.2. Modifications

We may modify the features, functionality, and content of our services at any time. Where such modifications significantly affect the nature of the services, we will notify Users in advance.


7. Fees and Payment

7.1. Subscription Fees

Each package has a specific monthly fee, which is clearly outlined during the registration process. Fees are subject to change, with prior notice provided to Users. All fees are exclusive of taxes, which will be added as applicable.

7.2. Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel the subscription before the renewal date. You authorize us to charge the applicable subscription fee using your provided payment method.

7.3. Refund Policy

Refunds will be issued in accordance with our refund policy. Users may request a refund within a defined cooling-off period. Refunds are generally not provided for partial months or unused services.


8. Technical Interruptions

8.1. Service Interruptions

In the event of planned or unplanned service interruptions, Users may be eligible for a prorated refund based on the duration of the outage. Refund requests must be submitted within 14 days of the interruption.

8.2. Disclaimer of Liability

Backona is not liable for service interruptions caused by third-party providers or events beyond our control, including but not limited to, natural disasters, cyber-attacks, or network failures.


9. Data Processing and Privacy

9.1. Data Collection

We collect and process personal data in accordance with our Privacy Policy, which is incorporated by reference into these Terms. By using our services, you consent to the collection and use of your data as outlined in the Privacy Policy.

9.2. GDPR Compliance

For Users located in the European Union, we comply with the General Data Protection Regulation (GDPR). Users have rights regarding their personal data, including the right to access, correct, and delete their data. Requests related to data rights should be directed to our data protection officer at info@backona.com.

9.3. Data Security

We implement industry-standard security measures to protect User data from unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.


10. Intellectual Property Rights

10.1. Ownership of Intellectual Property

All content, software, designs, algorithms, databases, and materials available on or through the Backona platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, and software (collectively, the “Intellectual Property”), are the exclusive property of Beespoke Services Ltd (“Backona”) or its licensors. This Intellectual Property is protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws. You agree not to reproduce, distribute, create derivative works of, publicly display, publicly perform, license, sell, or re-sell any part of the Intellectual Property without prior written consent from Backona.

10.2. Limited License to Users

Subject to your compliance with these Terms, Backona grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Intellectual Property for the sole purpose of utilizing the services provided by Backona in accordance with these Terms. This license does not grant you any rights to the underlying software, code, or data beyond what is necessary for your use of the services. Any unauthorized use of the Intellectual Property constitutes a breach of these Terms and may result in the termination of your license and access to the services.

10.3. Trademarks and Branding

The Backona name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Beespoke Services Ltd or its affiliates. You are not permitted to use these trademarks without the prior written permission of Backona. Unauthorized use of any Backona trademark, trade name, or trade dress is strictly prohibited and may result in legal action.

10.4. User-Generated Content

Users retain ownership of any content, data, or information they generate, upload, or submit to Backona through the platform (“User-Generated Content”). However, by submitting User-Generated Content to Backona, you grant Backona a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User-Generated Content in connection with the operation of the services and for Backona’s internal business purposes. This license is necessary for Backona to provide the services and improve its offerings.

10.5. Prohibited Uses of Intellectual Property

You agree not to:

  • Reverse Engineer: Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Intellectual Property.
  • Modify or Create Derivative Works: Modify, translate, or create derivative works based on the Intellectual Property without explicit authorization.
  • Sell or Lease: Sell, lease, sublicense, distribute, rent, or otherwise exploit the Intellectual Property for commercial purposes or for the benefit of any third party.
  • Infringe on Rights: Use the Intellectual Property in any way that infringes on the intellectual property rights of Backona or any third party.

10.6. Reporting Intellectual Property Infringements

If you believe that any content or materials on the Backona platform infringe your intellectual property rights, you should notify us immediately at infol@backona.com. Your notification must include:

  • A description of the intellectual property that you claim has been infringed.
  • A description of the content or material on the platform that you claim is infringing your intellectual property.
  • Sufficient information to enable Backona to locate the alleged infringing material.
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the intellectual property owner, its agent, or the law.
  • A statement by you, made under penalty of perjury, that the information in your notification is accurate and that you are the intellectual property owner or authorized to act on the owner’s behalf.
  • Your electronic or physical signature.

Upon receipt of a valid infringement notice, Backona will take appropriate action, which may include removing the infringing content or terminating the account of the User responsible for the infringement.

10.7. Protection of Backona’s Intellectual Property

Backona actively monitors and enforces its intellectual property rights. Unauthorized use of Backona’s Intellectual Property, including copying or distributing content without authorization, will be pursued to the fullest extent permitted by law. Backona reserves the right to seek damages, injunctive relief, and any other remedies available under applicable law for any infringement of its intellectual property rights.

10.8. Contributions to Backona

If you provide suggestions, feedback, ideas, or other contributions to Backona regarding the platform or services (“Contributions”), you acknowledge that:

  • Your Contributions do not contain confidential or proprietary information.
  • Backona is not under any obligation of confidentiality, express or implied, with respect to the Contributions.
  • Backona shall be entitled to use or disclose such Contributions for any purpose, in any way, in any media worldwide.
  • You irrevocably assign to Backona all rights to your Contributions, including the right to modify, distribute, or otherwise exploit the Contributions, without any obligation to provide compensation to you or any other person.

10.9. Third-Party Intellectual Property

The Backona platform may include third-party software, services, or other intellectual property that is provided under license from third parties (“Third-Party IP”). Use of Third-Party IP is subject to the terms and conditions imposed by the respective licensors. Backona does not grant any rights or licenses to use such Third-Party IP except as necessary for your use of the services in accordance with these Terms.

10.10. Reservation of Rights

All rights not expressly granted to you under these Terms are reserved by Backona and its licensors. No other rights or licenses, whether express, implied, or by estoppel, are granted under these Terms. Unauthorized use of the Intellectual Property will result in the immediate revocation of the license granted to you under these Terms and may result in legal action.


11. User Content and Contributions

11.1. Responsibility for Content

Users are solely responsible for the content they post or request through our services. This includes ensuring that the content does not violate any third-party rights or applicable laws.

11.2. Content Removal

Backona reserves the right, but is not obligated, to remove any content that violates these Terms, infringes on third-party rights, or is otherwise deemed inappropriate at our sole discretion.


12. Third-Party Services and Links

12.1. Integration

Backona integrates with third-party services like Google Analytics. Users are required to comply with the terms and conditions of these third-party services, and Backona is not responsible for any issues arising from such integrations.

12.2. Responsibility

We provide links to third-party websites and services for convenience. We do not endorse, and are not responsible for, the content, accuracy, or practices of these third-party services.


13. Complaints

13.1. Submitting Complaints

Users may submit complaints regarding the services or these Terms to info@backona.com. Complaints should include specific details to facilitate resolution.

13.2. Complaint Resolution

We strive to resolve complaints amicably. If a resolution cannot be reached, our decision shall be considered final and binding.


14. Termination and Suspension

14.1. Termination by User

Users may terminate their subscription at any time via their Account settings. Access to services will continue until the end of the current billing cycle.

14.2. Termination by Backona

We reserve the right to terminate or suspend User access for violations of these Terms, failure to pay subscription fees, or other legitimate reasons. Notice of termination will be provided where possible.

14.3. Effects of Termination

Upon termination, User access to the services will cease, and we may delete any data associated with the account. Users are advised to back up their data before termination.


15. Disclaimer of Warranties

15.1. Service Availability

Backona provides its services on an “as is” and “as available” basis. This means that while we strive to maintain a high level of service quality, we do not guarantee that the services will always be available, uninterrupted, or free from errors. The availability of our services may be affected by a range of factors, including but not limited to, technical issues, maintenance activities, internet connectivity problems, and factors beyond our control such as force majeure events (e.g., natural disasters, strikes, or cyberattacks).

Users should be aware that there may be periods of downtime or disruptions in service availability, whether planned (e.g., scheduled maintenance) or unplanned (e.g., server outages). Backona does not warrant that:

  • Uninterrupted Access: The services will be continuously available without interruption. There may be temporary service interruptions due to maintenance, upgrades, or unforeseen technical issues.
  • Error-Free Operation: The services will be free from errors, bugs, or defects. Despite our efforts to provide a reliable platform, no software is completely free from flaws, and occasional errors may occur.
  • Specific User Requirements: The services will meet all of your specific requirements or expectations. Our platform is designed to provide general solutions for a wide range of users, but it may not be tailored to your unique needs or circumstances.

Additionally, Backona does not warrant that any defects or issues identified with the services will be corrected immediately or that any fixes will meet your expectations. While we will make reasonable efforts to address any issues reported, we cannot guarantee the timing or effectiveness of such fixes.

By using Backona’s services, you acknowledge and agree that you are doing so at your own risk and that the services are provided without any warranties or guarantees, whether express or implied, to the fullest extent permitted by law.

15.2. Results

Backona provides tools and services designed to assist you in optimizing your marketing data, integrating analytics, and generating insights. However, we do not guarantee any specific outcomes, results, or success from the use of our services. The effectiveness of our services depends on a variety of factors that are beyond our control, including the accuracy and completeness of the data you provide, how you interpret and apply the insights generated by the platform, and external factors such as market conditions or changes in consumer behavior.

Specifically, Backona does not guarantee that:

  • Desired Outcomes: You will achieve any specific goals, such as increased sales, improved customer engagement, or enhanced marketing performance, by using our services. The platform provides data-driven insights, but the ultimate success of your strategies depends on your implementation and external factors.
  • Accuracy of Insights: The insights, recommendations, and analytics generated by our platform will always be accurate or appropriate for your particular situation. The platform uses algorithms and AI to analyze data, but these tools may not account for every variable or nuance in your business environment.
  • Predictive Success: Any predictions or forecasts provided by the platform will come to fruition. Predictive analytics are based on historical data and trends, and while they can provide valuable guidance, they cannot account for unforeseen events or changes in the market.

It is important to understand that the services provided by Backona should be used as part of a broader decision-making process. They are intended to support, not replace, your judgment and expertise. Users are strongly encouraged to:

  • Cross-Check Data: Verify the accuracy of the data and insights provided by the platform with other sources or through manual checks before making significant business decisions.

By using the Backona services, you acknowledge and accept that the results you achieve may vary and that Backona is not responsible for any lack of success or unfavorable outcomes. You agree that the platform is a tool to aid in your decision-making process and not a guarantee of any specific result.


16. Limitation of Liability

16.1. Exclusion of Damages

Backona and Beespoke Services Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, loss of data, or any other commercial damages or losses arising out of or related to your use or inability to use the services, even if we have been advised of the possibility of such damages. This limitation applies to any claims based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.

16.2. Maximum Liability

In no event shall the total liability of Backona and Beespoke Services Ltd, whether in contract, warranty, tort (including negligence), product liability, strict liability, or other theory, arising out of or relating to the use of or inability to use the services, exceed the amount you have paid to Backona in the 12 months preceding the claim. This limitation is cumulative, with all payments for claims or damages being aggregated to meet this cap.

16.3. Responsibility for Actions Based on Insights and Consultations

Our software is designed to provide insights, analytics, and consultations based on the data you input. However, any actions or decisions made based on these insights and consultations are solely the responsibility of the User. Backona is not liable for any outcomes, positive or negative, that result from actions taken in reliance on the data or recommendations provided by our software. Users should consider these insights as one of many factors in their decision-making process and are encouraged to seek additional professional advice where appropriate.

16.4. AI-Generated Data and Accuracy

Backona’s software incorporates artificial intelligence (AI) to generate insights and data-driven recommendations. While we strive to ensure the accuracy and reliability of our AI-generated outputs, the nature of AI means that it can occasionally produce unexpected or incorrect data. Users must treat the outputs from our software as brainstorming tools and preliminary data, not as definitive or infallible advice. You are responsible for verifying the accuracy of any data, figures, or recommendations generated by our software before making decisions or taking actions based on them. Always cross-check AI-generated data with your original data sources to ensure its accuracy and relevance.

16.5. Data Accuracy and Completeness

The quality and reliability of the insights provided by Backona are directly dependent on the quality of the data you input. Our software analyses and generates outputs based on the data provided by you. If the input data is incomplete, inaccurate, or outdated, the resulting insights will reflect those shortcomings. Backona is not responsible for errors, inaccuracies, or incomplete analyses that arise due to flawed input data. It is your responsibility to ensure that the data you provide to our software is accurate, complete, and up-to-date.

16.6. Limitation on Data Collection and Interpretation

Backona does not guarantee the accuracy, completeness, or reliability of the data it collects or processes. The software’s ability to interpret and analyze data is limited by the scope, quality, and accuracy of the data it receives. Users should be aware that the software’s outputs are not foolproof and may be subject to limitations inherent in the data collection process. We are not liable for any decisions, actions, or outcomes based on data that may be incomplete, incorrect, or improperly interpreted by the software.

16.7. Third-Party Integrations and Data Sources

Backona integrates with third-party services and data sources, such as Google Analytics, to provide comprehensive insights. However, we are not responsible for the accuracy, reliability, or availability of data obtained from these third-party sources. Any errors, omissions, or inaccuracies in third-party data are beyond our control, and we cannot be held liable for any issues arising from the use of such data within our software.

16.8. User Responsibility for Data Verification

While Backona aims to facilitate the analysis and optimization of your marketing data, it is ultimately your responsibility to verify all data outputs and analyses generated by the software. Users must perform due diligence in reviewing and validating the results before relying on them for business decisions. Failure to do so may result in outcomes that Backona is not liable for, including but not limited to financial losses, reputational damage, or operational disruptions.

16.9. Disclaimer of Warranties

Backona provides the services on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. We expressly disclaim any warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will meet your requirements, be error-free, uninterrupted, secure, or free of viruses or other harmful components.

16.10. No Responsibility for User-Generated Content

Backona is not responsible for any content, data, or information generated or submitted by Users. The accuracy, quality, and legality of user-generated content are the sole responsibility of the User. We do not endorse any opinions, recommendations, or advice expressed by Users and disclaim any liability related to User content.


17. Indemnification

17.1. User Obligations

Users agree to indemnify, defend, and hold harmless Backona and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in connection with their use of the services.

17.2. Scope of Indemnification

This indemnification obligation includes, but is not limited to, claims arising from User content, violations of these Terms, and unauthorized use of the services.


18. Dispute Resolution

18.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

18.2. Arbitration Clause

All disputes, claims, or controversies arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be settled by binding arbitration under the rules of the London Court of International Arbitration (LCIA).

18.3. Class Action Waiver

Users agree to waive any right to participate in a class action, class arbitration, or other representative proceeding against Backona.


19. Final Provisions

19.1. Security Measures

Backona is committed to protecting the security and integrity of User data. We implement industry-standard security measures, including but not limited to encryption, access controls, and regular security audits, to safeguard the data stored and processed on our platform. These measures are designed to protect against unauthorized access, disclosure, alteration, and destruction of data.

However, Users acknowledge that no security system is infallible. Despite our efforts, there is always a residual risk that data may be accessed or compromised by unauthorized third parties due to factors beyond our control, such as sophisticated cyberattacks or vulnerabilities in third-party software.
